1.1 By accessing, browsing, or using the Georgetown Health Foundation website located at gthfs.org (the "Website") or any associated services, you represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this binding Agreement.

2.1 Georgetown Health Foundation is a 501(c)(3) nonprofit organization dedicated to improving the health and well-being of the Georgetown, Texas community through grantmaking and community health initiatives.

4.2 Donation Processing: All donations are processed through secure third-party payment processors. By making a donation, you authorize us to charge your specified payment method for the donation amount. GHF is not responsible for any fees charged by your financial institution.
4.3 Recurring Donations: If you establish a recurring donation, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel recurring donations at any time by contacting us at [email protected] or (737) 307-6090.
4.4 Refund Policy: Donations to GHF are generally non-refundable. In exceptional circumstances (such as duplicate charges or processing errors), refund requests must be submitted in writing within 30 days of the donation date. Refund decisions are made at the sole discretion of GHF.
4.5 Use of Funds: Unless otherwise specified and agreed upon in writing, all donations are unrestricted and may be used at GHF's discretion to further our charitable mission. Restricted gifts are subject to acceptance by GHF and must comply with our gift acceptance policies.

5.1 Grant applications submitted to GHF are subject to review and evaluation at our sole discretion. Submission of an application does not guarantee funding.
5.2 Applicants represent and warrant that all information provided in grant applications is true, accurate, and complete. Providing false or misleading information may result in disqualification, revocation of funding, and/or requirement to return funds.
5.3 GHF reserves the right to request additional information, conduct site visits, and perform due diligence as part of the grant review process.
5.4 Grant recipients must comply with all grant agreement terms, reporting requirements, and applicable laws and regulations governing the use of charitable funds.
5.5 GHF reserves the right to terminate grant agreements and require return of funds if grant terms are violated or if funds are misused.
6.1 The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Georgetown Health Foundation, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 The GHF name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Georgetown Health Foundation. You may not use such marks without our prior written permission.

10.2 IN NO EVENT SHALL GHF'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED THE AMOUNT YOU PAID TO GHF, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12.1 Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact GHF at [email protected] to attempt to resolve any dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
12.2 Binding Arbitration: If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Williamson County, Texas, before one arbitrator.
12.3 The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction.
12.4 Class Action Waiver: YOU AND GHF AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
12.5 Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court.
13.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
13.2 Subject to the arbitration provisions above, you agree that any legal action or proceeding between you and GHF shall be brought exclusively in the state or federal courts located in Williamson County, Texas. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
13.3 The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
14.1 GHF reserves the right to modify, amend, or update these Terms at any time in our sole discretion. Any changes will be effective immediately upon posting on this page with an updated "Last Updated" date.
14.2 For material changes, we will make reasonable efforts to provide notice, such as posting a prominent notice on our Website or sending an email to registered users.
14.3 Your continued use of the Website after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue using the Website.

15.1 GHF may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
15.2 Upon termination, your right to use the Website will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
15.3 You may terminate your relationship with GHF by ceasing to use the Website. If you have a recurring donation, you must also cancel your recurring donation as described in Section 4.3.
16.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms.
16.2 The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
17.1 No waiver by GHF of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
17.2 Any failure of GHF to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18.1 You may not assign or transfer these Terms, by operation of law or otherwise, without GHF's prior written consent. Any attempt to assign or transfer without such consent will be null and void.
18.2 GHF may assign or transfer these Terms, in whole or in part, without restriction and without your consent.
19.1 These Terms, together with our Privacy Policy and any other legal notices or policies published on the Website, constitute the sole and entire agreement between you and Georgetown Health Foundation regarding your use of the Website.
19.2 These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
20.1 GHF shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, pandemics, epidemics, power outages, internet failures, or cyberattacks.
21.1 By using our Website and providing your contact information, you consent to receive electronic communications from GHF, including emails, text messages (if opted in), and notices posted on our Website.
21.2 You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
